Industry Insider — Data Licence

Version 1.1 · Effective Date:

This agreement is between Industry Insider (ABN: 39131551619) and the company named in your order form (“you”, “your team”).

The short version

The dataset stays inside your company. What you create from it is yours to share and sell.

Part 1

Rules of Use

1. Who this covers

This licence is granted to the company named in your order form, and covers your employees and contractors while they are working for you. We call this “your team”.

2. Editable files stay inside your team

Don’t give anyone outside your team an editable version of the data. That includes spreadsheets, exports, editable design files, database records and copies of the underlying records.

Using the data inside third-party tools, including AI tools, is fine — provided you’re not making it publicly available to others in the process.

3. Share and sell what you make

Screenshots, slides, videos, social posts, ads, decks and reports you create from the data can be shared as widely as you like — publicly, with clients, in pitches, anywhere. There’s no limit and no approval needed.

That includes our material inside your work: images, labelled diagrams, ad creative, page captures and flow breakdowns can all appear in the things you make.

The insights, analysis, recommendations, creative direction and strategy you develop using the data are yours, and you can charge whatever you like for them.

Two limits apply, and they’re covered in the next two rules: files that let someone explore the data themselves (rule 4), and selling the data itself rather than your work (rule 5).

4. Files people can explore themselves are capped

You may share view-only versions of our design files — for example, a Figma file included in a pitch brief — provided that:

  • copy and export are disabled;

  • access is limited to named recipients rather than “anyone with the link”; and

  • any one recipient organisation receives files covering no more than 20 brands in any 12-month period.

The 20-brand cap is per recipient organisation, not in total — so a broad client base doesn’t work against you. “Recipient organisation” includes prospects and anyone else you share with, not only paying clients.

This rule is about files someone can move through and examine for themselves. A fixed screenshot or diagram inside your work isn’t covered by it — that’s rule 3, and there’s no limit on it.

5. Don’t sell the dataset itself

You’re free to put our material into the things you make — images, labelled diagrams, ad creative, page captures, flow breakdowns — inside your reports, posts, decks, ads, emails and analyses. Rule 3 covers that, and there’s no limit on it.

What you can’t do is make the data itself the thing being bought, or hand it over in a form that lets someone else use it the way you do.

Two questions decide it:

Is the customer paying for your work, or for our data?

Can the person receiving it explore the dataset themselves?

Fine:

  • a category benchmark report you wrote, sold or gated behind an email form

  • a pitch deck full of our screenshots, sent to a prospect or published

  • an ad or social post built using material from the dataset

  • a paid newsletter where you write about what you’re seeing in the data

Not fine:

  • selling or giving away a folder of our files, exports or design files

  • a paid report whose value is the enclosed data rather than your analysis

  • a subscription or membership where access to our data is what people are paying for

  • handing the data over as the deliverable in a client engagement — “here’s the research you commissioned”

  • passing on editable files, or view-only files beyond the limits in rule 4

The principle underneath both questions: don’t give our data away in a form that destroys its value, and don’t sell it as a product in its own right.

6. Don’t strip the identifiers

Our files contain unique identifiers. Don’t remove them, obscure them, or re-create outputs in a way designed to defeat them.

7. Don’t rebuild it

Don’t use the data to build, train or populate a competing dataset or competing product.

8. You’re responsible for anyone you give access to

If someone you’ve given access to breaches these rules, that’s treated as your breach. This includes employees, contractors and freelancers.

9. Tell us if something slips

If the data ends up somewhere it shouldn’t, let us know. Most of these situations are accidents, and we’ll work through it with you. Telling us early always goes better than us finding out later.

Part 2

The Agreement

10. What you get, and what you keep

Data delivered to you is yours to keep permanently. A subscription buys you ongoing updates and continued access to new data as we collect and produce it — it doesn’t affect the data you already hold.

If you stop subscribing, you keep everything delivered up to that point. These Rules of Use continue to apply to that data for as long as you hold it.

11. Keeping the dataset private

The dataset isn’t public and isn’t published anywhere. Its commercial value depends on that staying true, so we ask you to treat it as private business information:

  • keep it within your team, on a need-to-know basis;

  • don’t publish it, post it, or make it available to anyone who hasn’t been granted access under this licence; and

  • take reasonable care with how it’s stored and who can reach it.

This gives us a route to act if the data reaches someone who was never entitled to it, whether or not that person has signed anything with us. In legal terms, the dataset and source files are our confidential information.

This doesn’t apply to the outputs you create under rule 3, which you’re free to publish, or to information that becomes public through no fault of yours.

12. What we own, and what we don’t

The dataset is not a raw collection of records. We significantly transform what we collect — adding interpretation, tagging, structure, flow diagrams and analysis that make the material understandable and useful. We own that work, together with the compilation, structure and presentation of the dataset as a whole. This licence covers those things.

It doesn’t cover the underlying third-party material the dataset refers to — the advertisements, emails, website pages and creative assets produced by the brands we track. We don’t own those and can’t grant you rights in them. If you republish third-party creative, that’s your responsibility, not ours.

13. Identifiers

Files and outputs we supply contain unique identifiers that allow us to trace their source. You acknowledge these exist and agree that they are evidence of where a file originated.

14. If these rules are breached

We may suspend or terminate your access. Where a breach is unintentional and can be put right, we’ll tell you what the problem is and give you a reasonable opportunity to fix it before taking further action.

Because the harm caused by unauthorised distribution is difficult to quantify, we may also seek an injunction and recovery of our losses.

If this agreement is terminated for breach, you must stop using the data and delete the files we’ve supplied. This applies only to termination for breach — not to simply choosing not to renew, which is covered by rule 10.

15. Changes to these terms

We may update these terms for new purchases and renewals. Data already delivered to you stays governed by the terms you accepted when you received it. We’ll give you reasonable notice of any change before it applies to you.

16. Law and jurisdiction

This agreement is governed by the laws of Victoria, Australia. The courts of Victoria have non-exclusive jurisdiction, meaning either party may also bring proceedings in the courts where the other party is located.

17. Acceptance

You accept these terms by signing below, by accepting them electronically, or by accessing or using the data. This version supersedes any previous version for the purchase it relates to.
